1. About these Partner Terms
These Partner Terms govern Geminista Connect, our referral partner programme (the Programme). You accept them when you register for a referral code or tick the box on the registration form. If you register for a business, you confirm you are authorised to bind it. These Partner Terms form a contract between you and the Geminista company identified in "Who you contract with" in our Terms and Conditions (based on where you live or your business is established). The sections of our Terms on governing law and disputes, and the general provisions, also apply to these Partner Terms.
Consultancy firms that resell or manage the Geminista PMO platform for their clients under a Partner Solo or Partner Firm plan are covered by our Terms and their Order, not by these Partner Terms, unless they also join the Programme.
2. Eligibility
- You must be at least 18 years old and able to enter into a binding contract, and the information you give us must be accurate and kept up to date.
- You may not join if you are: a government official or employee of a government entity, public authority or state-owned company (where your role could influence its purchasing); an employee or director of Geminista; resident in, or a national of, a country subject to comprehensive sanctions, or on a sanctions list; or barred by your employer's rules or a conflict of interest from receiving referral fees.
- We may approve or decline any registration, and may ask for identity, tax and bank details, and information to complete anti-bribery and sanctions checks, before paying any commission.
- One registration per person or business. Codes are personal and may not be transferred, sold or shared on coupon or deal sites.
3. Referrals
- How to refer: share your referral code or link with a decision-maker, or, with their permission, introduce them to us by an email to contact@geminista.com that copies them and quotes your code.
- Qualified Referral: a referral counts only if all of these apply: (a) the organisation is new to us, meaning it is not a customer and has not been in active discussions with us or one of our partners in the previous 12 months; (b) it is first introduced to us by you, as shown by your code on its sign-up, enquiry or order, or by your registered introduction email, and no other partner introduced it first; (c) it signs a paid contract or buys a paid plan within 12 months of your introduction; and (d) it is not you, your employer, your own business or a business you control (self-referral).
- Attribution: if two partners introduce the same organisation, credit goes to the first registered introduction. Our records decide attribution. We will consider any evidence you provide in good faith, and our decision is final.
- Government and state-owned clients: no commission is payable for any government entity, public authority, state-owned or state-controlled company, unless we have approved the referral in writing in advance after confirming that payment is lawful under applicable procurement and anti-bribery laws. You must never act as an intermediary or agent in a government tender or procurement process for us.
- No authority: you may not make offers, prices, discounts, promises or commitments on our behalf, sign anything for us, or collect payments. We decide in our sole discretion whether to accept any prospective client and on what terms.
4. Commission
- Rate: for each Qualified Referral we pay commission at the rate shown to you when you register (or as otherwise agreed in writing) on the Net Fees we actually receive from the referred client during the first 12 months after its first payment to us.
- Net Fees means fees for Geminista PMO subscriptions and Geminista consulting services actually received by us, excluding value added tax, goods and services tax, withholding taxes, other taxes, bank and payment charges, reimbursed travel and expenses, third-party and pass-through costs, and amounts later refunded, credited, charged back or written off.
- Changes: we may change the rate or the rules for future referrals by updating these Partner Terms with at least 30 days' notice. Referrals already registered keep the terms that applied when they were registered.
- No other payment: commission is your only remuneration for the Programme. You bear your own costs and expenses.
5. Payment
- We pay commission within 30 days after we receive the related payment from the client, once we have your correct payment, identity and tax details and (if you are a business) your valid invoice.
- Commission is paid by bank transfer in US dollars, or in another currency we agree, using our bank's exchange rate on the payment date. Balances below USD 100 roll over to the next month; any balance is paid once a year even if below that amount.
- Taxes: you are responsible for all taxes on your commission. We may deduct or withhold taxes where the law requires (for example tax deducted at source in India) and will provide the related certificate. Where required, you must provide tax forms (such as Form W-9 or W-8BEN for payments by our US company, or PAN and GST details in India).
- Clawback: if a client receives a refund, credit or chargeback, or fails to pay, for fees on which commission was paid, we may deduct the related commission from future payments or ask you to repay it within 30 days.
- Set-off and holds: we may withhold or cancel commission if we reasonably suspect fraud, self-referral, false information, a breach of these Partner Terms or of law, until the matter is resolved.
6. How you may promote Geminista
- Describe Geminista accurately and only using the materials we provide or approve. Do not make claims about results, prices, features, security certifications or availability that we have not published.
- Disclose clearly that you may receive a referral fee whenever you recommend Geminista, as required by advertising and consumer protection laws.
- Comply with anti-spam, telecommunications and data protection laws, including the Saudi Personal Data Protection Law, the UAE data protection law, India's Digital Personal Data Protection Act and the United States CAN-SPAM Act. Do not send unsolicited bulk messages, buy or scrape contact lists, or share any person's details with us without a lawful basis and their knowledge.
- Do not bid on "Geminista" or "Geminista PMO" (or misspellings) in search or social advertising, register domain names, social media handles or app names that contain our marks, or create websites or profiles that could be mistaken for ours.
- Do not use cookie stuffing, forced clicks, misleading redirects, incentives to sign up, or any other method to generate referrals artificially.
- Do not post content that is unlawful, defamatory, offensive, discriminatory or political in connection with Geminista.
7. Anti-bribery, conflicts and sanctions
You must comply with all anti-bribery and anti-corruption laws, including the Saudi Anti-Bribery Law, the UAE Penal Code, India's Prevention of Corruption Act, 1988, the United States Foreign Corrupt Practices Act and the UK Bribery Act 2010. You must not offer, promise, give, request or accept any payment, gift, hospitality or other advantage to or from any person, including any government official or any employee of a prospective client, to obtain or keep business for Geminista, and must not share your commission with anyone at the referred client. You must disclose to us and to the referred client any relationship that could create a conflict of interest, and must have any approval your employer or the client's rules require.
You confirm that you are not subject to sanctions and will not refer any person or organisation that is. We may audit your compliance with this section on reasonable notice. Any breach of this section is a material breach: we may terminate immediately, cancel all unpaid commission and recover commission already paid in connection with the breach.
8. Confidentiality and data protection
You must keep confidential any non-public information about Geminista, our prices, plans, commission rates and clients that you receive through the Programme, and use it only for the Programme. You and we are each independent controllers of the personal data we exchange; each of us will comply with applicable data protection law. Our Privacy Policy explains how we use your personal data as a partner.
9. Trademarks
While you are an active partner, we grant you a limited, non-exclusive, non-transferable, revocable licence to use our name and logos only as provided in our materials and only to refer clients under the Programme. All goodwill belongs to us. You must stop using our marks when your participation ends or when we ask.
10. Relationship
You are an independent contractor. Nothing in these Partner Terms creates an employment, agency, partnership, franchise, distributorship or joint venture relationship, or entitles you to any exclusivity, territory, minimum earnings or compensation on termination. We may run other partner and referral programmes and appoint other partners anywhere.
11. Term and termination
- Either party may end your participation at any time by notice, including by email. We may also suspend or close the Programme for everyone with 30 days' notice.
- If participation ends for any reason other than your breach, we will pay commission due on client payments received during the 12-month period of each Qualified Referral registered before the end date. If we end it for your breach, no further commission is payable.
- The sections on payment obligations, clawback, anti-bribery, confidentiality, liability and disputes survive termination.
12. Liability and indemnity
The Programme is provided "as is". We do not guarantee any level of referrals, conversions or earnings, or that tracking will always be error-free. To the maximum extent permitted by law, we are not liable for any indirect or consequential loss or loss of profit, and our total liability under these Partner Terms is limited to the commission payable to you in the 12 months before the claim.
You will indemnify Geminista against claims, fines, losses and costs arising from your breach of these Partner Terms or of law, including anti-bribery, anti-spam, data protection and advertising laws, or from any statement you make about Geminista that we have not approved.
13. Changes and general
We may update these Partner Terms by posting a new version with a new "Last updated" date and, for material changes, notifying registered partners by email at least 30 days before they apply to new referrals. If you do not agree, you may leave the Programme. These Partner Terms, together with the parts of our Terms referred to above, are the entire agreement about the Programme. If there is a difference between language versions, the English version prevails.
Questions about the Programme: contact@geminista.com (subject "Geminista Connect").
